Paralegal (Intermediate to Senior) - Corporate Services

We are recruiting on behalf of our client, a leading boutique corporate and securities law firm situated in downtown Vancouver representing local, national and international clients. Their core practice areas consist of corporate finance, securities, mergers and acquisitions, strategic investments, takeovers and takeover defence, corporate & commercial, natural resources, and commercial real estate.

This firm is looking to hire an Intermediate to Senior level Paralegal for their Corporate Records team.

Role and Responsibilities

  • Incorporations and organization of B.C. and Federal companies, including extra-provincial registrations.
  • Corporate support for amalgamations, continuances, corporate reorganizations, share and asset purchases, dissolutions and other corporate matters.
  • Share structure and article alterations.
  • Redemptions/Retractions/Repurchases.
  • Restorations, dissolutions, change of name, proprietorship registration.
  • Share issuance and share transfer/repurchase.
  • Dividend, director and officer change.
  • Create and maintain corporate records books, virtual minute books and all related annual report filings.
  • Respond to client inquiries and handle routine corporate tasks independently.

Skills and Qualifications

  • A minimum of 3 years of experience in corporate is required.
  • A graduate of a recognized Paralegal or LAA program.
  • Familiarity with B.C. and Federal corporate statute.
  • Experience with filing corporate forms, conducting corporate searches, name reservations, etc.
  • Strong technical skills, including experience with ALF, BC Online, Microsoft Word, Outlook, and Adobe.
  • Ability to prioritize work, follow instructions and adhere to strict deadlines.
  • Excellent analytical skills, ability to exercise sound judgment, discretion, confidentiality, and adapt to changing demands.
  • Strong communication and interpersonal skills, and an ability to function effectively with a high degree of independence.
